Dennis has significant experience with formations, corporate stock issuances, recapitalizations and reorganizations, stock restriction agreements, officers and directors advice, securities compliance, corporate governance, stock option plans, privacy/Internet issues, distributor/license agreements, audit committee investigations and contract preparation. His corporate finance and securities experience includes private placement and public offerings of equity and debt, including, initial public offerings, venture financings, tax credit syndications, and asset secured financings for issuers, underwriters and venture funds. Dennis has participated in over 275 corporate finance transactions. He is also an adjunct professor at the University of San Diego School of Law.
